1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SCHDL, Inc. ("SCHDL," "we," "our," or "us") governing your access to and use of the SCHDL Coverage Wizard and all related services, software, and documentation (collectively, the "Service") available at schdlai.com.

By accessing or using the Service, you represent that: (a) you have read, understood, and agree to be bound by these Terms; (b) you are at least 18 years of age; (c) you are authorized by your employer or healthcare organization to use the Service on their behalf; and (d) your use of the Service complies with all applicable laws and regulations.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

SCHDL Coverage Wizard is an agentic AI-powered scheduling coordination system designed for healthcare facilities, hospitals, and health systems. The Service enables authorized healthcare workforce professionals to manage shift coverage, identify available staff, coordinate callouts, and process shift swap requests through a conversational AI interface.

The Service operates exclusively on operational scheduling and workforce coordination data. It is not a clinical system, does not process patient information, and is not intended for any clinical decision-making purpose.

3. Eligibility and Access

You must be at least 18 years of age to use the Service. The Service is intended for use by employees, supervisors, and administrators of healthcare organizations that have entered into an agreement with SCHDL or whose organizations are participating in an authorized pilot program.

Access to the Service may be provided through: (a) direct account creation via schdlai.com; (b) organizational deployment by a health system or facility administrator; or (c) an authorized pilot or evaluation program.

4. User Accounts and Roles

4.1 Account Types

The Service provides three levels of access:

  • Employee: Access to personal shift information, open shift claims, callout requests, and shift swap requests
  • Supervisor: Access to department-level coverage management, shift assignment oversight, and team coordination tools
  • Administrator: Full administrative access including system configuration, user management, and reporting

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify SCHDL immediately of any unauthorized use of your account at hello@schdl.com.

SCHDL reserves the right to suspend or terminate accounts that violate these Terms, are inactive for extended periods, or are associated with suspicious activity.

4.3 Organizational Accounts

If you access the Service through your employer or healthcare organization, your organization's administrator may provision, modify, or revoke your access. Your organization's agreement with SCHDL governs the relationship between SCHDL and the organization; these Terms govern your individual use of the Service.

5. Acceptable Use Policy

You agree to use the Service only for its intended purpose of healthcare workforce scheduling coordination. You agree not to:

  • Enter, transmit, or store any Protected Health Information (PHI) or patient-identifiable data through the Service
  • Use the Service for any purpose that violates applicable federal, state, or local law
  • Attempt to gain unauthorized access to any part of the Service or its underlying systems
  • Reverse engineer, decompile, or disassemble any component of the Service
  • Use automated scripts, bots, or scrapers to access the Service
  • Transmit malicious code, viruses, or disruptive software
  • Impersonate another person or organization
  • Use the Service in any manner that could disable, overburden, or impair its functionality
  • Share your account credentials with any other person

6. Scheduling Data and Accuracy

The Service relies on the accuracy of the operational data you and your organization provide, including shift schedules, staff availability, credentials, and contact information. You are responsible for ensuring that any information you enter into the Service is accurate and up to date.

SCHDL does not independently verify the accuracy of scheduling data, staff credentials, or organizational policies entered by users or administrators. The Service's outputs — including coverage recommendations and staff matches — are based on the data provided and should be reviewed by a qualified supervisor or administrator before operational decisions are made.

7. AI-Generated Outputs and Human Oversight

The Service uses artificial intelligence to generate scheduling recommendations, identify coverage candidates, and coordinate shift assignments. These outputs are suggestions only and do not constitute binding decisions or guaranteed outcomes.

SCHDL's Coverage Wizard is designed to act only after user confirmation. No scheduling action is taken without explicit approval from an authorized user. You acknowledge that:

  • AI-generated outputs may contain errors, omissions, or inaccuracies
  • Human review and approval is required before any operational action is taken
  • SCHDL is not responsible for scheduling decisions made by you or your organization based on the Service's outputs

8. Intellectual Property

8.1 SCHDL's IP

The Service, including its software, algorithms, design, user interface, and all related documentation, is the exclusive property of SCHDL, Inc. and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

8.2 Your Data

You and your organization retain ownership of all scheduling and operational data you submit to the Service. By using the Service, you grant SCHDL a limited, non-exclusive license to process, store, and use your data solely as necessary to provide the Service and as described in our Privacy Policy.

SCHDL may use anonymized, aggregated data derived from Service usage to improve its products, provided that such data cannot be used to identify you or your organization.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant SCHDL a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, available at schdlai.com/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

10. Payment Terms

The Service is currently available on a pilot and evaluation basis. Commercial subscription pricing has not yet been activated. When payment features are enabled, the following terms will apply:

  • Fees will be disclosed in advance and agreed upon in a separate order form or subscription agreement between SCHDL and your organization
  • Payment processing will be handled through Stripe, Inc. or such other processor as SCHDL designates
  • All fees are in U.S. dollars and are non-refundable unless otherwise stated in your subscription agreement
  • SCHDL reserves the right to modify pricing with 30 days' written notice

11. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

SCHDL DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICE WILL BE AVAILABLE AT ALL TIMES OR WITHOUT INTERRUPTION; (C) ANY ERRORS OR DEFECTS WILL BE CORRECTED; OR (D) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCHDL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SCHDL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU OR YOUR ORGANIZATION TO SCHDL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

13. Indemnification

You agree to defend, indemnify, and hold harmless SCHDL and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service in a manner not authorized by these Terms
  • Your submission of inaccurate, unauthorized, or unlawful data through the Service
  • Your violation of any applicable law or regulation
  • Any claim by a third party arising from your use of the Service

14. Termination

Either party may terminate access to the Service at any time. SCHDL may suspend or terminate your access immediately, without notice, if you breach these Terms or if your organization's agreement with SCHDL expires or is terminated.

Upon termination: (a) your right to access the Service ceases immediately; (b) SCHDL will retain your data in accordance with our Privacy Policy and applicable law; and (c) Sections 8, 11, 12, 13, 15, and 16 of these Terms shall survive termination.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation between the parties. If not resolved within 30 days, disputes shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA), conducted in Delaware, in English.

You waive any right to bring claims as a plaintiff or class member in any purported class action or representative proceeding.

16. Modifications to These Terms

SCHDL reserves the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must discontinue use of the Service before the effective date of the changes.

17. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and any applicable order forms or subscription agreements, constitute the entire agreement between you and SCHDL regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.

Waiver: SCHDL's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign your rights or obligations under these Terms without SCHDL's prior written consent. SCHDL may assign these Terms freely.

Force Majeure: SCHDL shall not be liable for any failure or delay in performance due to causes beyond its reasonable control.
